TERMS OF USE

Thank you for your interest in Merimen Online and the services we offer. Use of the Merimen Online site and the services available to you through the Merimen Online site (collectively, the "Service") is subject to the following Terms of Use. Please read the Terms of Use carefully before using or registering with the Service, as your use of or registration with the Service will signify your acceptance of these terms.

Description of the Service

Merimen Online does not warrant that any information accessible via the System is accurate, current or complete. Merimen Online is not involved in the provision of repair services or automobile part purchase and replacement for you, and you acknowledge and agree that Merimen Online shall not have any liability arising out of or in connection with any estimate or repair work performed for you.

As part of the Service, Merimen Online provides a catalog-based automotive parts estimate system. All parts availability, pricing information and standard times on the Service is subject to change, and Merimen Online MAKES NO WARRANTY OR GUARANTEE THAT ANY PARTS ORDERED BY YOU WILL BE AVAILABLE OR THAT ANY PRICE QUOTED TO YOU BY MERIMEN ONLINE IS FIRM. Merimen Online disclaims any and all liability arising out of or in connection with any price or repair costs commitment, or the failure of any such parts purchase transaction or repair.

Privacy

At Merimen Online, we are committed to protecting your privacy. All registration data and any other information gathered from you in connection with your use of the Service will be governed by the provisions of our Privacy Policy.

a) Information Sharing and Disclosure

Merimen does not rent, sell, or share information about you with or nonaffiliated companies except to provide products or services you've requested, when we have your permission, or under the following circumstances:

• We provide the information to trusted partners who work on behalf of or with Merimen under confidentiality agreements. These companies may use your information to help us communicate with you and our partners. However, these companies do not have any independent right to share this information.
• We respond to subpoenas, court orders, or legal process, or to establish or exercise our legal rights or defend against legal claims.
• We believe it is necessary to share information in order to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of Merimen's TOS or as otherwise required by law.
• We transfer information about you if Merimen is acquired by or merged with another company. In this event, Merimen will notify you before information about you is transferred and becomes subject to a different privacy policy.

b) Confidentiality and Security
We limit access to information to employees who we believe reasonably need to come into contact with that information to provide Services to you or in order to do their jobs. We have physical, electronic, and procedural safeguards that comply with federal regulations to protect all information.

c) Changes to this Privacy Policy
Merimen may update this policy. We will notify you about significant changes in the way we treat information by placing a notice on our site.

User Account, Password and Security

You will receive a designated account and password upon completing the registration process for Merimen Online. You accept the responsibility for maintaining the confidentiality of the account and password, and you accept full responsibility for all activities that occur under the designated account and password provided to you.

You will only disclose the account and password information to the employees of your firm only. Granting account and password to third party without written consent from Merimen is considered a breach of usage and Merimen reserves the rights to terminate or suspend the account if necessary. If illegal activities such as copying/reengineering our application has taken place, we will hold you liable for such breach and will seek maximum recourse punishable by law.

You will immediately notify Merimen in writing of any unauthorized use of the account or any other breach of security as soon as you are aware of the same; and you shall endeavor to ensure that authorized personnel(s) and/or agents logout from Merimen Online after each session. For additional security, you are required to clear your cache after each session.

Confidentiality

During the usage of the system, proprietary business information may be transmitted to you from other users. Such information shall be considered highly confidential and the receiving party strictly will not directly or indirectly disclose such information to third parties without prior written agreement of the disclosing party.

External Sites

The Service may contain advertisements and links to other sites on the Internet that are owned and operated by third parties. Merimen Online is not responsible for the content, practices or privacy policies of these Web sites or for your transactions with them. Inclusion of advertisements or links to such Web sites does not imply any endorsement by Merimen Online of any content, advertising, products, services or other materials on or available from such Web sites.

THE INFORMATION, SERVICES, PRODUCTS, AND MATERIALS CONTAINED IN THE SERVICE ARE PROVIDED ON AN "AS IS" BASIS WITH NO WARRANTY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIMEN ONLINE DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO SUCH INFORMATION, SERVICES, PRODUCTS, AND MATERIALS, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT, AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. MERIMEN ONLINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THE INFORMATION ACCESSIBLE VIA THE SERVICE IS ACCURATE, CURRENT OR COMPLETE.

Limitation of Liability

IN NO EVENT WILL MERIMEN ONLINE BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING NEGLIGENCE), ARISING FROM YOUR USE OF THE SERVICE OR THE PROVISION OF THE INFORMATION, SERVICES, PRODUCTS, AND MATERIALS CONTAINED IN THIS SITE, EVEN IF MERIMEN ONLINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You also may discontinue your access and use of the Service at any time. This Terms of Use will continue to apply to all past use of the Service by you, even if you are no longer using it.

Modification of Terms of Use

Merimen Online reserves the right, at any time, to modify, alter or update these Terms of Use. Any modifications shall be effective upon the posting by Merimen Online of the modified Terms of Use on this Web page. Merimen Online may assign this Terms of Use in whole or in part at any time without your consent. No failure of either party to enforce any of its rights under this Terms of Use will act as a waiver of such rights. If any provision of the Terms of Use is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions of the Terms of Use shall remain in full force and effect.
